The Sr. Manager - Corporate Development is responsible for delivering on corporate development activities involving acquisitions, divestitures, and strategic partnerships, including but not limited to: proactive opportunity identification, target identification and initial analysis / vetting, financial analysis and valuation, due diligence, Executive material development, deal structuring and negotiations, and planning for implementation and integration.
The Sr. Manager - Corporate Development will work as part of a project team to deliver on objectives determined by the Director - Corporate Development and the senior leadership of the company. She/He will work with speed and urgency to deliver high quality deliverables. As a Sr. Manager on a project team, this person will be responsible for delivering the work as well as overseeing the work from other resources. This individual will work with cross-functional partners from Business Development, Strategic Development, and other functions to ensure the optimal outcome is achieved.
In addition to project-based work, the Sr. Manager - Corporate Development will be responsible for assessing the landscape and competitive threats against internal strategies / capabilities to identify potential inorganic growth opportunities for Best Buy. These opportunities should be included in the M&A pipeline and continuously reassessed to ensure alignment with corporate and business strategic objectives. As part of the M&A pipeline process, this individual is expected to develop and maintain key external relationships, including those with investment banks, potential targets, buyers, and potential strategic partners.
Key Responsibilities of this role include: Deliver on corporate development activities involving acquisitions, divestitures, and strategic partnerships
Proactively identifying key areas Best Buy should be considering from an M&A standpoint, including industries, types of targets, key capabilities needed, etc.
Identifying potential target companies that could advance Best Buys strategic initiatives, performing preliminary analysis, and vetting these opportunities
Performing complex financial analysis and leveraging a variety of valuation methodologies to create robust valuation models
Helping to draft and execute legal documentation (e.g., NDAs, LOIs, IOIs)
Coordinating, managing, and executing thorough due diligence and related activities for acquisition and investment opportunities, including managing outside third parties where applicable. Provide a comprehensive view of the companys people, products, technologies, go-to-market plan, competitive position, and anything else relevant to making a decision
Structuring and negotiating deals, including complex transaction terms and definitive documentation
Overseeing and preparing materials for review by the Executive Team and Board of Directors
Planning for implementation and integration post-transaction
Managing the process and all related issues with internal and external constituents throughout the entire transaction
Deliver data driven insights to support business decisions
Work with speed and urgency to deliver high quality work that meets the needs and expectations of both the Director - Corporate Development and the Enterprise
Manage multiple potential transactions at any given time
Continuously assess and update M&A pipeline as need be to ensure alignment with corporate and business strategic objectives
Assess landscape and competitive threats against internal strategies / capabilities to identify potential inorganic growth opportunities
Monitor and compile research, competitive intelligence, and earnings results on prospective targets
Identify and source promising, viable opportunities by developing relationships with start-ups, bankers, consultants, intermediaries, internal partners, etc.
Partner with Strategic Development, Business Development, and other cross-functional resources to deliver high quality work products that are in alignment with Client and Enterprise strategic objectives
Contribute to and developing of a world-class team responsible for corporate development
Set clear goals and expectations as a key part of managing performance to drive business outcomes
Provide meaningful and timely performance feedback and coaching, and use performance management tools to track and discuss performance
Provide developmental opportunities for team members to develop skills, knowledge and experience
Basic Requirements (Must meet or exceed all basic requirements to be eligible)
Bachelors degree or above in business, finance, or related field
4+ years of experience in corporate development, investment banking, or M&A role
2+ years of experience managing teams
Experience in leading and/or managing at least 3 acquisitions or divestitures
Exceptional financial acumen and ability to perform complex financial analysis
Demonstrated capabilities in financial statement analysis and creating flexible, detailed, and accurate financial and operational forecast models
Deep knowledge and understanding of a variety of valuation methodologies and ability to create robust valuation models and analyses
Ability to assess a companys market and competitive position, operational and financial characteristics (e.g., ratios, margins), and stakeholder objectives
Proficiency in analyzing financial documents / business plans and developing valuation assessments based on research and due diligence
Strong analytical, quantitative and critical thinking skills
Excellent verbal and written communication skills
Demonstrated ability to communicate complex ideas and work effectively with people at all levels of the organization
Strong negotiating skills
Working knowledge of accounting, tax, and legal issues related to M&A activities
Ability to thrive in a highly dynamic, time sensitive, and collaborative environment
Strong business acumen
Preferred Knowledge and Skills
MBA strongly preferred
5+ years of corporate M&A experience
Additional Salary Information: Salary is commensurate with experience. Also eligible for a 25% annual target bonus.
